NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. Eligibility

To be eligible for the Venue MEMBERS ONLY 002 Raffle (the “Campaign”), the person must, at the time of participation, including when the Prize (as defined below) is awarded:

• Be a new or existing “Artist” on the Venue Ink App in good standing as defined in the Artist and Owners Terms of Service;
• Be 18 years of age or older (or the age of majority in their jurisdiction) as of the date of entry;
• Not be a resident of excluded jurisdictions where this Campaign is prohibited by law;
• Not be an employee of Venue, its affiliates, subsidiaries, advertising and promotion agencies, and suppliers (collectively, the “Employees”);
• Meet the requirements set out below.

2. Agreement to Rules

By participating, the Artist (“You”) agrees to be fully and unconditionally bound by these Rules, and You represent and warrant that You meet the eligibility requirements. In addition, You agree to accept the decisions of Venue as final and binding as it relates to the content of this Campaign.

3. Campaign Period

Entries will be accepted starting on July 6, 2026 at 12:00 PM EDT and ending on August 1, 2026 at 12:00 AM EDT (the “Campaign Period”). Entries accrue from the moment You register (Section 4) through the close of the Campaign Period.

4. Qualifying Action

To participate, You must first tap the “Enter raffle” button within the Venue Ink App during the Campaign Period. Once registered, You earn entries via the following methods:

A. 10 entries per eligible dollar processed on Venue

For every $1.00 (or its equivalent in your local currency) processed through the Venue Ink App during the Campaign Period via eligible deposits or payments, You will receive ten (10) entries.

• Definition of Eligible Transactions: “Eligible dollars” are defined as deposits, full payments, or payment-link invoices processed through the Venue Ink App using Apple Pay, Google Pay, credit or debit cards, or Buy Now, Pay Later (“BNPL”) services (including Affirm, Klarna, Afterpay, or Clearpay), where the resulting charge is captured via Stripe.
• Local Currency Tracking: During the Campaign Period, the Venue App may track and display your progress based on your local currency volume.
• Final Normalization (USD Conversion): To ensure fairness across regions, the final number of entries allotted to You for the drawing will be calculated by converting your total accumulated local currency transaction volume into USD at the conclusion of the Campaign Period, using the prevailing exchange rate as of the Campaign End Date (August 1, 2026).
• Refunds and Chargebacks: Entries are based on payments captured during the Campaign Period. Venue reserves the right to remove entries associated with any payment that is later refunded, charged back, or otherwise reversed.
• No Cost to Entrant: Artists using the Venue Ink App have the option to pass processing fees directly to their clients. Therefore, earning entries does not require a direct financial payment from You, provided You utilize the “Client pays” feature.

B. 100 entries per eligible dollar spent in the drop

For every $1.00 of member-price merchandise subtotal purchased in the MEMBERS ONLY 002 drop during the Campaign Period (on paid orders), You will receive one hundred (100) entries. The raffle-only item itself is not a purchasable product and does not generate drop-spend entries.

C. Social Media Bonus (Instagram)

You may receive 10,000 bonus entries by completing the following social media actions:

• Locate the official MEMBERS ONLY 002 raffle post on the Venue Instagram account (@venue.ink) or within your Venue account;
• Comment on the post telling us your Venue-branded merch idea; AND
• Share the post to Your Instagram Story, ensuring that You tag @venue.ink in the Story so the share is visible to Venue for verification.

Requirement: You must have an active, verified Venue Ink App account to receive these entries. Venue reserves the right to DM You on Instagram to confirm which Venue App account the entries should be credited to.

Limit: One (1) Social Media Bonus per Artist.

Entries that are incomplete or do not adhere to the rules or specifications may be disqualified at the sole discretion of Venue.

5. Prize

There will be two (2) Winners of the Campaign (each, a “Winner”). Each Winner will receive both of the following (collectively, the “Prize”):

• The Jacket: One (1) one-of-one Levi’s denim button-front jacket with chainstitched embroidery of two coil tattoo machines in black, with red lettering reading “As ancient as time, as modern as tomorrow” on the back, hand embroidered by Lucy Dickinson (@6ft.germ). One size.
• The Commission: The opportunity to design any Venue-branded merchandise concept, which Venue will produce together with the Winner. Winning artists and their commissions will be featured in Venue’s next Members Only merch drop.

Maximum Retail Value: $1,000 USD (MSRP) per Prize, including shipping costs to the Winner’s address.

Taxes & Duties: The Winner is solely responsible for all applicable federal, state, provincial, and local taxes, including any customs duties, VAT, or import fees required to receive the Prize. The Prize is non-transferable. No substitution of prize, transfer or assignment of prize to others, or request for the cash equivalent by the Winner is permitted, except at Venue’s sole discretion.

Limit one (1) Prize per Artist.

6. The Commission

The commission portion of the Prize is subject to the following additional terms:

• Paid commission: Venue will compensate the Winner for the design work performed on their commissioned merchandise concept. Compensation and deliverables will be agreed between Venue and the Winner in writing before production begins.
• Production limits apply: Production of any commissioned concept is subject to feasibility and to limits determined by Venue at its sole discretion, including (without limitation) materials, manufacturing and vendor capabilities, quantities, timelines, and budget. The final produced item may differ from the original concept where necessary to meet these limits.
• Right to refuse: Venue reserves the right to refuse, modify, or decline to produce any commission request that it considers unreasonable, infeasible, unlawful, offensive, or otherwise inconsistent with the Venue brand, in each case at Venue’s sole discretion.

7. Odds

The odds of winning depend on the number of eligible entries received (total Venue-processed volume converted to USD, drop spend, and social bonuses, across all registered participants).

8. Winner Selection and Notification

Winners will be selected by a random, entry-weighted drawing under the supervision of Venue (each entry is one ticket; each entrant may win at most once).

• Announcement Date: Winners will be announced on or about the week of August 3, 2026.
• Notification Method: Winners will be notified via Direct Message (DM) on Instagram, email, and/or the phone number associated with their Venue account.
• Claiming the Prize: The Winner has fourteen (14) days from the time of award notification to respond with their shipping address and to begin coordinating their commission concept. If a Winner cannot be contacted, is ineligible, fails to claim the Prize within 14 days from the time award notification was sent, or fails to timely return a completed and executed declaration and release as required, the Prize may be forfeited and an alternate Winner selected.

9. Rights Granted by You

By entering this Campaign, You understand and agree that Venue, anyone acting on behalf of Venue, and Venue’s licensees, successors, and assigns, shall have the right, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the World, without limitation, your name, portrait, picture, voice, likeness, image, statements about the Campaign, your commissioned merch concept, and biographical information for news, publicity, information, trade, advertising, public relations, and promotional purposes without any further compensation, notice, review, or consent.

10. Limitation of Liability

By entering, You agree to release and hold harmless Venue and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such entrant’s participation in the Campaign and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error in the administration of the Promotion or the processing of entries.

11. Disputes

This Campaign is governed by the laws of Ontario, Canada, without respect to conflict of law doctrines. As a condition of participating in this Campaign, the participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Campaign, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Toronto, Ontario having jurisdiction.

13. Sponsor

The Sponsor of the Campaign is Venue Live Technologies Inc., located at 217 - 68 Claremont St, Toronto, Ontario M6J 2M5.
